Sell-side buyer lists: how advisors build one that gets a deal done

A strong buyer list is more than a database export. How M&A advisors can build a focused list of strategic acquirers, private equity platforms and roll-ups, with a reason for each name.

When an advisor takes a sell-side mandate, the buyer list shapes the whole process. Too short, and the client wonders whether the market was tested. Too long and generic, and the teaser lands with people who were never going to bid. The best lists are focused, reasoned and ready to show the client.

Know the four main buyer groups

  • Strategic acquirers: competitors, suppliers and customers who gain market share, capability or geography.
  • Private equity platforms: portfolio companies already doing add-on acquisitions in the sector.
  • Roll-ups and consolidators: groups whose stated plan is to buy businesses like this one.
  • Private capital: search funds, independent sponsors and family offices with a relevant thesis.

Give every name a reason

A list of 200 company names tells the client very little. A list of 60 names, each with one line explaining the fit, shows real work. The reason might be geographic overlap, a missing service line, a recent acquisition in the same niche or a public statement about growth plans.

Find the active buyers, not just the large ones

The strongest signal is recent behaviour. Groups that have completed acquisitions in the last two years, or announced new funding for buy-and-build, are far more likely to engage than a large company that has not bought anything in a decade. Press releases, filings and deal announcements all help here.

Reach the decision-maker

A teaser sent to a general inbox is easy to ignore. Identify the person who leads acquisitions, whether that is a corporate development director, a platform CEO or a partner at the fund, and confirm the contact route before the process starts.

Tier the list

Split buyers into tiers by likely fit and ability to pay. Approach the first tier with the most care, and use the response to adjust the rest. Tiering also helps the client understand why certain names are at the top.

Protect confidentiality

Some buyers will be competitors of your client. Agree with the client which names are off limits, and keep the list itself confidential. A well-built list respects that the business is not yet public about its plans.
